1 Who We Are

MarginLens AI, LLC ("MarginLens AI," "we," "us," "Company") is a limited liability company providing shipping margin intelligence tools, freight cost analytics, and related informational services. Our platform is accessible at marginlens.ai and app.marginlens.ai.

2 Acceptance of Terms

By accessing or using our website, platform, or any services, you agree to be bound by these Terms. If you are using the platform on behalf of a business entity, you represent that you have authority to bind that entity.

These Terms apply to all users, including visitors, registered users, Free Margin Scan participants, and paid clients. Your continued use after any updates constitutes acceptance of the revised Terms.

3 Description of Services

MarginLens AI provides shipping margin analytics, carrier benchmarking data, freight cost analysis, diagnostic reports, and ongoing margin monitoring through our Seven-Pillar Margin Diagnostic framework. Our services are informational and analytical in nature. We are not freight brokers, carriers, transportation intermediaries, or logistics operators.

Service Tiers

* "Identified Savings" means the total dollar value of margin leakage opportunities identified by diagnostic analysis — expressed as a fixed annual fee. See Section 4 and your signed Statement of Work for full details.

4 Critical Disclaimer — No Guarantee of Savings

You specifically acknowledge and agree that:

• MarginLens AI provides data analysis tools and benchmarking intelligence. We provide findings — we do not make business decisions for you.
• All opportunity estimates, Identified Savings figures, potential savings ranges, and benchmarks are analytical estimates based on your submitted data and industry benchmarks. They are not predictions, projections, or guarantees of actual results.
• Margin Protection fees are calculated as a percentage of Identified Savings (opportunities found) — not contingent on whether you implement recommendations or achieve actual savings.
• Actual outcomes depend entirely on your own independent business decisions, carrier negotiations, contract terms, volume commitments, market conditions, and factors outside our control.
• You are solely responsible for all decisions made in reliance on information obtained through our platform.

5 User Accounts and Access

1. To access certain features you must create an account. You are responsible for maintaining the security of your credentials and all activity under your account.
2. You agree not to share account access, impersonate others, or use the platform for any unlawful purpose.
3. You must provide accurate registration information and keep it current. You may not register on behalf of a competitor for the purpose of competitive intelligence.

6 Data You Submit

1. By submitting shipping data or other business information, you represent that you have full legal right and authority to submit that data and that doing so does not violate any third-party agreement, confidentiality obligation, or applicable law.
2. You retain ownership of all data you submit. We use your data solely to provide the requested services — not for any other commercial purpose.
3. We will not sell your data, share it with third parties for marketing purposes, or use it to train AI or machine learning models. See our Privacy Policy for full details.

7 Intellectual Property

All content, software, analytical frameworks, Seven-Pillar Diagnostic methodology, scoring frameworks, benchmarking databases, reports, and materials on our platform are the intellectual property of MarginLens AI, LLC and are protected by copyright, trade secret, and other applicable laws.

Your license to use Deliverables is limited to your own internal business purposes. You may not copy, distribute, reverse engineer, resell, or create derivative works from our platform, methodology, or outputs without our express written permission.

8 Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. MARGINLENS AI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARGINLENS AI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM USE OF THE PLATFORM OR SERVICES IS LIMITED TO FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE SERVICES, OUR LIABILITY IS LIMITED TO ZERO DOLLARS ($0).

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SAVINGS, LOSS OF BUSINESS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10 Prohibited Conduct

You agree not to:

• Submit false, misleading, or unauthorized data
• Attempt to circumvent security measures, access controls, or platform restrictions
• Use the platform to harm, defraud, or deceive any third party
• Resell, sublicense, or commercialize our services, methodology, or data outputs
• Reverse engineer, scrape, or systematically extract our platform, algorithms, or benchmarking data
• Access the platform for the purpose of building a competing product or service

11 Free Margin Scan — Additional Terms

The Free Margin Scan is a complimentary service. By submitting data for a Free Margin Scan, you additionally acknowledge that:

• The Margin Score, identified variances, and opportunity estimates are automated analytical outputs — not professional assessments or guarantees.
• Results are dependent entirely on the accuracy and completeness of data you submit.
• MarginLens AI's liability for the Free Margin Scan is limited to $0, as the service is provided at no charge.
• You consent to MarginLens AI contacting you about paid service options based on your Scan results, unless you opt out.

12 Paid Services — Additional Terms

For paid engagements (Full Diagnostic, Margin Protection, Strategic Advisory), additional terms are set forth in a signed Master Services Agreement (MSA) and Statement of Work (SOW). In the event of any conflict between these Terms and a signed MSA, the MSA controls.

Paid service fees are non-refundable except as expressly provided in your SOW. Margin Protection fees are based on Identified Savings as defined in your MSA and are owed regardless of whether you implement recommendations.

13 Termination

We reserve the right to suspend or terminate your access to the platform at any time for violation of these Terms, non-payment, or any other reason at our sole discretion, with or without notice.

You may close your account at any time by contacting [email protected]. Termination does not relieve you of any payment obligations incurred prior to termination.

14 Changes to These Terms

We may update these Terms at any time. We will post the updated Terms at marginlens.ai/terms with a revised effective date. Continued use of our platform after changes constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify registered users by email.

15 Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in New York, NY, under JAMS Streamlined Arbitration Rules.

You waive the right to participate in class action litigation or class-wide arbitration. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.

16 General

• Entire Agreement. These Terms, together with your signed MSA and SOW (if applicable) and our Privacy Policy, constitute the entire agreement between you and MarginLens AI regarding use of our services.
• Severability. If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• No Waiver. Our failure to enforce any provision does not waive our right to enforce it in the future.
• Independent Contractors. Nothing in these Terms creates any employment, partnership, joint venture, or agency relationship.
